Cenovus Energy has signed a deal to acquire Athabasca Oil Corporation in a $5.7-billion cash-and-stock transaction, expanding the Calgary-based company’s oil sands production.

The acquisition adds to a string of major moves by Cenovus over the past year, including its agreement to acquire MEG Energy, a deal the company later sweetened to $8.6 billion before it was approved by MEG shareholders.

The Athabasca Oil transaction is structured as a combination of cash and Cenovus shares, according to local reports confirming the agreement.

Transactions of this scale typically require regulatory and shareholder sign-off before closing, a process Cenovus followed with its earlier MEG Energy acquisition.

Why it matters for Lloydminster

Cenovus is one of the Border City’s largest employers and operates the Lloydminster upgrader and refinery, a facility central to the region’s economy on both sides of the Alberta-Saskatchewan border.

The company has kept a steady local presence through 2026, including a recent emergency response exercise at the Lloydminster refinery and an open house in Spruce Lake on emission-reducing technology.

Regional growth in the heavy oil sector has continued elsewhere as well, with reports of a Lloydminster-area acquisition by Trio Petroleum earlier this month signalling continued investor interest in the region’s heavy oil assets.

Part of a broader expansion push

Cenovus has posted strong financial results through late 2025, with the company’s third-quarter report showing results fuelled in part by oil sands production.

The Athabasca Oil deal follows that pattern of consolidation in the Alberta oil sands, as larger producers acquire smaller operators to expand reserves and production capacity.

No closing date for the Athabasca Oil transaction has been released. Updates on the deal’s regulatory and shareholder approval process are expected to come directly from Cenovus Energy in future company filings.
